FLOWWISE TERMS OF SERVICE Version: 2026-09-07 1. Scope and acceptance Flowwise is a service operated by Newcraft. These terms apply to your use of Flowwise, including trials, integrations and related support. The provider is the Newcraft entity identified in your subscription agreement or invoice. Flowwise is intended for business use. By creating an account, you confirm that you are authorised to accept these terms for the business you represent. Individually agreed written terms take precedence where they conflict with these terms. 2. The service Flowwise provides software for connecting business systems and automating data and workflows. We will use reasonable care in providing the service. We do not guarantee uninterrupted availability, error-free operation, complete or timely synchronisation, compatibility with every external system, or any particular commercial result. Maintenance, technical faults and changes made by external providers may affect the service. 3. Your responsibilities You are responsible for account security, authorised access, the accuracy and lawfulness of your data, and the settings and permissions you enable. Before enabling an automation, check its configuration and test its results. Monitor orders, prices, stock, invoices and other synchronised information, investigate errors promptly, and keep appropriate backups and records. You remain responsible for your sales, customer obligations, taxes and compliance with marketplace rules. Do not use Flowwise unlawfully, interfere with its operation or access data without permission. 4. External services and automation Connected platforms, marketplaces, payment services and other external services are operated independently and have their own terms and charges. We do not control their availability, data, API changes, decisions or restrictions. Automations can create or change records in connected systems according to your settings. To the extent permitted by law, we are not liable for damage caused by external services, incorrect source data, your configuration, or use outside our instructions, except to the extent attributable to our own breach of the agreement. 5. Fees and termination Your selected plan or written agreement determines the price, billing period, usage limits and cancellation arrangements. Applicable taxes and any additional charges will be shown when you subscribe or agree to them. You may cancel in accordance with those arrangements. We may suspend access where reasonably necessary to address a security threat, unlawful use, material breach or overdue payment. Where practicable, we will notify you and give you a reasonable opportunity to resolve the issue. Cancellation does not remove payment obligations already incurred. Export data you need before access ends. 6. Data and intellectual property You retain your rights to the data you provide. You authorise us to process that data as needed to provide and secure the service and carry out your instructions. You must have the necessary rights and legal basis to provide data, including personal data. Applicable data protection law and any data processing agreement continue to apply. Rights to the Flowwise software and documentation remain with us or our licensors. Your subscription grants you a limited right to use the service for your business during the agreement. 7. Liability To the fullest extent permitted by law, we exclude liability for indirect or consequential loss, lost profit or revenue, missed savings, business interruption, loss of goodwill, loss or corruption of data, and claims arising from your obligations to customers or other third parties. This includes such losses arising from delayed, incomplete or incorrect synchronisation of orders, stock, prices, products or invoices. Where we are liable for direct damage, our total liability for an event or a series of connected events is limited to the Flowwise subscription fees you paid for the affected service during the three months immediately preceding the event. During a free trial or free use, liability is excluded to the extent permitted by law. These exclusions and limits do not apply to intentional misconduct or deliberate recklessness by our management, or to liability that cannot lawfully be excluded or limited. Nothing in these terms removes mandatory statutory rights. Report problems promptly and take reasonable steps to limit further damage. Where a breach can be remedied, give us written notice and a reasonable opportunity to remedy it. 8. Events beyond our control We are not responsible for a failure to perform to the extent caused by circumstances beyond our reasonable control, such as widespread internet outages, power failures, natural disasters or government measures. We will take reasonable steps to limit the impact and resume the service. 9. Changes We may update the service and these terms. We will notify you in advance of material changes to the terms, stating when they take effect. Changes do not apply retroactively. If a change materially disadvantages you, you may end the affected subscription before the change takes effect without an early termination charge. Where required by law, we will request your agreement. 10. Applicable law and contact Dutch law applies, subject to mandatory rights under applicable law. Disputes may be submitted to the competent court under applicable law. If a provision is unenforceable, the remaining provisions continue to apply.
